These Terms of Service ("Terms") govern your use of the Oplify platform ("Platform") operated by Oplify Solutions Private Limited ("Oplify," "we," "us"), registered at Ganga Trueno Business Park, VIP Airport Road, Viman Nagar, Pune, Maharashtra 411014, India.
By creating an account or using the Platform, you agree to these Terms.
Oplify is a SaaS platform that enables businesses ("Customers") to connect their WhatsApp Business Account (WABA) to the official Meta WhatsApp Business API. Through the Platform, Customers can send WhatsApp messages, manage customer conversations, and automate communication workflows.
Oplify acts as a Tech Provider under Meta's WhatsApp Business Platform Terms. By using the Platform, you also agree to:
Your WhatsApp Business Account remains your property. Oplify holds admin access to your WABA solely to provide the Platform service. You may revoke this access at any time by terminating your account.
You must provide accurate, complete registration information. You are responsible for maintaining the security of your account credentials. You must be 18 years or older and have authority to bind your business to these Terms.
You agree to use the Platform only for lawful business communication. You must comply with Meta's WhatsApp Business Policy at all times.
You may NOT use the Platform to:
Violation of these terms may result in immediate suspension of your account without refund.
Meta charges per message for WhatsApp Business API usage. These charges are separate from your Oplify subscription.
Oplify charges 0% markup on Meta's WhatsApp API rates — you pay Meta directly for message usage at Meta's published rates. Oplify does not add any commission or surcharge on Meta's charges.
Your Oplify subscription covers platform access only. Current Meta India rates (per message, GST exclusive):
Meta's rates may change. Refer to Meta's published rate card for current rates.
Subscriptions are billed monthly or annually in Indian Rupees (INR), inclusive of applicable GST. GST invoices are issued for all payments.
Payment is accepted via UPI, credit/debit card, and net banking. Subscriptions auto-renew unless cancelled before the renewal date.
Refund policy: Subscription fees are non-refundable except where required by applicable law.
Your use of the Platform is subject to our Privacy Policy at https://oplify.in/privacy-policy. You are responsible for obtaining all necessary consents from your customers before sending them WhatsApp messages through the Platform.
We target 99.9% monthly uptime for the Platform, excluding scheduled maintenance. We are not responsible for downtime caused by Meta's WhatsApp Business API infrastructure, AWS, or events outside our control.
The Platform, including all software, design, and content, is owned by Oplify Solutions Private Limited. You retain ownership of your data. You grant Oplify a limited license to process your data solely to provide the Platform service.
To the maximum extent permitted by law, Oplify's liability to you for any claim arising from your use of the Platform is limited to the amount you paid to Oplify in the 3 months preceding the claim.
Oplify is not liable for indirect, incidental, or consequential damages, or for any losses arising from Meta's WhatsApp API downtime, policy changes, or account suspensions by Meta.
Either party may terminate the agreement with 30 days' written notice. Oplify may terminate immediately for breach of the Acceptable Use Policy or non-payment.
Upon termination, your data will be retained for 90 days then permanently deleted, unless you request earlier deletion.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
